He Oranga Pounamu is governed by a Board of Trustees supported by a skilled and experienced management team.

The Board of Trustees consists of five trustees appointed by Te Runanga O Ngai Tahu, two trustees elected by affiliated Māori Service Providers and two trustees elected by affiliated Māori Community Organisations.

The opportunity exists for Maata Waka iwi to be represented in this governance structure through the election of trustees. Though the establishment was lead by Ngai Tahu Development Corporation in the first instance, He Oranga Pounamu operates collaboratively with all Māori service providers and Māori community organisations that wish to affiliate to He Oranga Pounamu. Furthermore affiliation to He Oranga Pounamu does not inhibit Māori service providers or community organisations from continuing to conduct business independent of He Oranga Pounamu.
